Buyer acknowledges their role as the principal(s) Buyer(s) in the transaction, and the Seller aims to maintain the confidentiality of disclosed information. The Buyer commits to not disclose or grant access to any Confidential Information, including the business being on the market, without written consent from the Seller, except to their legal advisors, financial advisors, and lenders for the purpose of potential acquisition. Any breach of this agreement by the Buyer or their advisors will make the Buyer liable for damages caused to the Seller. If the Buyer decides not to proceed with the purchase, they agree to promptly return all due diligence materials received to the Broker.
Buyer acknowledges Andre or the associated broker's existing listing agreement or authorization to sell with the Seller, entitling the broker to a commission for the business sale. The Buyer agrees not to engage with management, employees, customers, or the landlord without the broker's approval. Furthermore, the Buyer commits to protecting the broker's right to a commission if they acquire any assets of the business within two years from the agreement date. Interference with the broker's commission rights makes the Buyer personally liable for payment. However, if the purchase is made through Andre, the Buyer is exempt from commission liability.
Buyer commits to safeguard, defend, indemnify, and absolve the Broker and their agents from any liabilities or expenses stemming from the transaction. This includes but is not limited to misrepresentation, acts, omissions, environmental hazards, and financial conditions of the involved parties. Both parties acknowledge that their decision to enter into this agreement is based on their individual due diligence rather than relying on the presentations made by the Broker.
